Terms & Conditions
Please read these Terms and Conditions ("Terms") carefully before using argynauto.ca or booking any service provided by ARGYN AUTO / Maibassov Auto Group ("Company", "we", "us", "our"). By accessing our website, checking the acceptance box at booking, or making payment for our services, you agree to be bound by these Terms.
1. About Our Services
ARGYN AUTO provides independent mobile pre-purchase vehicle inspection services in Toronto and the Greater Toronto Area (GTA), Ontario. Our services include visual and operational inspection of used vehicles prior to purchase, preparation of a written buyer inspection report, OBD diagnostic scanning, paint thickness testing, and a road test where lawful, safe, and permitted by the vehicle owner or seller.
We work exclusively on behalf of the buyer. ARGYN AUTO has no affiliation with any seller, dealership, auction house, or financial institution. Our inspectors provide factual findings and buyer-focused observations to help you make an informed decision. The final decision to purchase, negotiate, or decline remains solely yours.
2. Nature and Scope of Inspection
2.1 Visual and Operational — Non-Invasive
All inspections are visual, operational, and non-invasive. Our inspectors do not dismantle components, remove body panels, disassemble mechanical systems, or perform invasive testing. The inspection reflects what is reasonably observable by a qualified inspector under normal field conditions without disassembly.
2.2 Inaccessible Areas
Certain areas may be inaccessible during inspection due to factors including: vehicle design or ride height; weather, lighting, or environmental conditions; cleanliness of the vehicle's underside; seller restrictions; safety considerations; or unavailability of a hoist. Where an area could not be examined, this will be noted in the report. We are not liable for defects in areas that were inaccessible at the time of inspection.
2.3 Road Test — Seller Discretion
A road test is included only where it is lawful, safe, and permitted by the vehicle owner or seller. The client acknowledges and agrees that:
- (a) Many dealerships, particularly those selling pre-owned vehicles, may refuse test drives without a signed conditional purchase agreement, deposit, or proof of serious buying intent from the client;
- (b) Such refusal is a business decision made by the seller, and is entirely outside ARGYN AUTO's control;
- (c) Where a road test cannot be completed due to seller refusal, ARGYN AUTO will proceed with all other inspection components and note the limitation in the report. This does NOT constitute a breach of service, partial service failure, or grounds for refund;
- (d) The client is responsible for confirming test drive availability with the seller prior to booking, including any signed documents or commitments the seller may require;
- (e) ARGYN AUTO reserves the right to decline or limit a road test at the inspector's sole discretion based on weather, road conditions, mechanical safety concerns, or any other factor that could compromise safety or vehicle integrity.
2.3.1 Follow-Up Road Test (Goodwill Service)
If a road test could not be completed during the initial inspection due to seller policy, ARGYN AUTO may, at its sole discretion, offer a complimentary follow-up road test subject to the following conditions:
- (a) The client must coordinate in advance with the seller and obtain confirmed permission for the test drive before any follow-up visit;
- (b) The follow-up must be scheduled within 7 days of the original inspection;
- (c) The follow-up is limited to the road test only and does not include re-inspection of other components;
- (d) If the seller refuses the test drive again despite coordination, the follow-up visit will be considered an attempted goodwill gesture, and no further service, credit, or refund will be offered;
- (e) The follow-up road test is offered at the sole discretion of ARGYN AUTO and is not a guaranteed right of the client.
2.4 Hidden, Latent, and Intermittent Defects
ARGYN AUTO cannot be held responsible for hidden, latent, intermittent, or developing defects that were not reasonably detectable during the inspection, including but not limited to:
- Defects concealed by the seller through temporary repairs, cleaning, reset of diagnostic codes, or misrepresentation;
- Intermittent faults that did not present during testing;
- Internal component wear not visible without disassembly;
- Defects that developed after the inspection was completed;
- Corrosion, rust, or wear that was not visible due to dirt, undercoating, or access limitations;
- Issues requiring specialized equipment beyond standard OBD and paint thickness tools.
2.5 Condition at Time of Inspection
The inspection report reflects the observable condition of the vehicle at the date and time of inspection only. ARGYN AUTO makes no representation regarding the vehicle's condition at any time before or after the inspection.
2.6 Photographs and Documentation
Photographs and video taken during inspection document observable conditions at the time of capture only. Absence of a photograph of any particular issue does not imply absence of that issue, nor does presence of a photograph imply exhaustive documentation of that area.
3. Report Delivery and Acceptance
3.1 Delivery Timing
Reports are delivered digitally to the email address provided at booking, typically within 24–48 hours of the inspection, depending on service volume, vehicle complexity, and operational circumstances. A delay in delivery does not entitle the client to a refund.
3.2 Acceptance Window
The client has 7 calendar days from report delivery to raise any concerns, disputes, factual errors, or omissions in writing to support@argynauto.ca. Reports not disputed in writing within this 7-day window are deemed accepted as final and complete.
Claims, disputes, or complaints raised after this 7-day window will not be accepted, except where acceptance is required by applicable law (including the Consumer Protection Act, 2002, Ontario).
3.3 Dispute Resolution for Report Errors
If the client believes there is a material factual error in the report (e.g., incorrect mileage recorded, photo mismatched to wrong vehicle, measurement error), they may submit a written dispute within the 7-day window above. ARGYN AUTO will review such disputes in good faith. Where a material factual error is confirmed, ARGYN AUTO may issue a corrected report and/or a proportional credit at its sole discretion.
4. Report Limitations — No Warranty
4.1 What the Report Is NOT
The inspection report is a buyer-focused summary of observable findings at the time of inspection. It is expressly NOT:
- A warranty or guarantee of vehicle condition, quality, or fitness for purpose;
- A certification of roadworthiness or an Ontario Safety Certificate;
- A prediction of future mechanical reliability, performance, or service life;
- A guarantee that no defects exist beyond those identified;
- Legal advice, financial advice, or a recommendation to buy or decline;
- A substitute for the client's own due diligence, test drive, or legal/financial review.
4.2 Purpose of the Report
The report assists the client in making an informed decision by documenting observable findings, providing negotiation context where applicable, and flagging items that warrant further investigation. The final decision to purchase, negotiate, or decline the vehicle remains entirely the client's responsibility.
4.3 No Third-Party Reliance
The report is prepared solely for the client who ordered and paid for the inspection. No third party may rely on the report without the prior written consent of ARGYN AUTO. We accept no liability to any third party who receives, forwards, or relies on the report without such written consent.
5. Client Responsibilities and Representations
5.1 Access and Permissions
By booking an inspection, the client represents, warrants, and agrees that:
- (a) They have arranged or will arrange full vehicle access with the seller prior to the scheduled appointment;
- (b) They have obtained (or will obtain before the inspection) the seller's permission for visual inspection, OBD diagnostic scanning, paint thickness measurement, and road test where applicable and desired;
- (c) The vehicle location and address provided are accurate and accessible at the scheduled time;
- (d) They have disclosed any known restrictions, limitations, or special conditions imposed by the seller.
5.2 Consequences of Client Failure
Where the inspection cannot be completed, or cannot be completed in full scope, due to the client's failure to secure seller cooperation or accurate access:
- (a) The inspection is considered delivered to the fullest extent possible under the circumstances;
- (b) No refund or credit is owed beyond what is specified in the Refund & Cancellation Policy;
- (c) ARGYN AUTO retains the full right to charge for time, travel, and any inspection components completed.
5.3 Dealer-Specific Restrictions — Client Acknowledgment
The client specifically acknowledges and accepts that:
- (a) Many dealerships, particularly those selling pre-owned vehicles, impose restrictions on third-party pre-purchase inspections. Common restrictions include: refusing road tests without signed purchase agreements, refusing OBD scans, limiting hoist access, restricting inspection duration, requiring inspector supervision, or prohibiting photography;
- (b) These restrictions are decisions made by the seller and are entirely outside ARGYN AUTO's control;
- (c) Where such restrictions prevent completion of certain inspection components, those components will be marked as "Not Performed — Seller Restriction" in the report, and this does NOT constitute a breach of service, partial service failure, or grounds for refund;
- (d) The client is solely responsible for resolving any such restrictions with the seller directly, before or during the inspection.
6. Limitation of Liability and Indemnification
6.1 Liability Cap
To the maximum extent permitted by applicable law, ARGYN AUTO's total aggregate liability to any client, arising out of or in connection with the inspection service, the inspection report, or these Terms — whether in contract, tort (including negligence), statute, or otherwise — shall not exceed the fee actually paid by that client for the specific inspection in question.
6.2 Exclusion of Indirect and Consequential Damages
To the maximum extent permitted by law, ARGYN AUTO shall NOT be liable for:
- (a) Indirect, consequential, special, incidental, or punitive damages;
- (b) Loss of vehicle purchase price, trade-in value, or resale value;
- (c) Repair costs, maintenance costs, or replacement costs of the inspected vehicle;
- (d) Loss of use, loss of profit, or loss of business opportunity;
- (e) Emotional distress, inconvenience, or loss of enjoyment;
- (f) Any damages arising from the client's decision to purchase, decline, or negotiate based on the report;
- (g) Damages arising from defects that were hidden, latent, intermittent, or developing, as described in Section 2.4.
6.3 Time Limitation for Claims
Any claim against ARGYN AUTO must be brought in writing within ninety (90) days of the inspection date. Claims brought after this period are waived, except where prohibited by applicable law.
6.4 Indemnification by Client
The client agrees to indemnify and hold harmless ARGYN AUTO, its inspectors, employees, contractors, officers, and agents from any third-party claims, losses, damages, costs, or expenses (including reasonable legal fees) arising from:
- (a) The client's use or misuse of the inspection report;
- (b) The client's decision to purchase or not purchase the inspected vehicle;
- (c) The client sharing the report with unauthorized third parties;
- (d) Any misrepresentation by the client regarding the vehicle, the seller, or the circumstances of the inspection;
- (e) The client's failure to fulfill the responsibilities set out in Section 5.
6.5 Statutory Rights Preserved
Nothing in this Section 6 excludes or limits liability that cannot be excluded or limited under applicable law, including the Consumer Protection Act, 2002 (Ontario), or in cases of gross negligence, fraud, or wilful misconduct.
7. Payments
All prices are in Canadian dollars (CAD). Full payment confirms your booking. Cancellations and refunds are governed by our separate Refund & Cancellation Policy, which forms part of these Terms.
Payment is processed through Stripe, a third-party payment provider subject to its own terms and privacy policies. ARGYN AUTO does not store payment card details directly.
8. Website Use
Content on argynauto.ca is provided for general informational purposes. We make reasonable efforts to keep information accurate but do not warrant completeness or accuracy at all times. We may modify or remove content without notice. You may not use this website for any unlawful purpose or in any manner that could damage, disable, or impair the website or interfere with others' use of it.
9. Privacy
The collection and use of your personal information is governed by our separate Privacy Policy, which forms part of these Terms and is incorporated by reference.
10. Governing Law and Consumer Protection
10.1 Governing Law
These Terms are governed by the laws of the Province of Ontario and applicable federal laws of Canada, including the Consumer Protection Act, 2002 (Ontario).
10.2 Consumer Protection Rights Preserved
Nothing in these Terms is intended to exclude, restrict, or modify any rights or remedies available to the client under the Consumer Protection Act, 2002 or other applicable consumer protection legislation.
Where any provision of these Terms conflicts with mandatory consumer protection rights, such rights shall prevail to the extent required by law. All other provisions remain in full force and effect.
10.3 Jurisdiction
Any dispute arising out of or in connection with these Terms shall first be addressed through good-faith negotiation between the parties. Where negotiation is unsuccessful, disputes shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario.
11. Changes to These Terms
We may update these Terms from time to time. The version in effect at the time of booking and payment governs the service provided. Changes are effective upon posting to argynauto.ca, and the "Last updated" date and version number at the top of these Terms will be updated accordingly.
Continued use of our services after any update constitutes acceptance of the revised Terms.
12. Force Majeure
ARGYN AUTO shall not be liable for any failure or delay in performance of services due to events beyond its reasonable control, including but not limited to: severe weather, road conditions, traffic, vehicle breakdown, inspector illness or incapacity, seller unavailability, government restrictions, pandemic-related disruptions, power outages, or technical failures of third-party systems (including payment processors, email delivery, or scheduling tools).
In such events, ARGYN AUTO will notify the client as soon as reasonably possible and offer either a reschedule or a full refund, at the client's preference.
13. Acceptance and Record of Agreement
By checking the acceptance box at the time of booking or payment, the client confirms that they have read, understood, and agree to be bound by these Terms, the Refund & Cancellation Policy, and the Privacy Policy.
ARGYN AUTO retains electronic records of acceptance, including timestamp, IP address, and Terms version number, as proof of agreement. These records may be produced as evidence in any dispute or proceeding.
14. Entire Agreement and No Oral Modifications
14.1 Entire Agreement
These Terms, together with the Refund & Cancellation Policy and Privacy Policy, constitute the entire agreement between the client and ARGYN AUTO regarding the inspection service. They supersede all prior or contemporaneous communications, representations, promises, or agreements — whether oral or written — including statements made in SMS, email, phone calls, voice messages, or chat platforms (including but not limited to Telegram, WhatsApp, and iMessage).
14.2 No Oral Modifications
No statement, promise, or representation made by any employee, inspector, contractor, or representative of ARGYN AUTO outside of these written Terms shall modify, waive, or override these Terms, unless expressly confirmed in writing by the owner of ARGYN AUTO and attached as a signed addendum.
14.3 Amendments
Amendments to these Terms for a specific client require written agreement signed by both the client and an authorized representative of ARGYN AUTO. Informal messages, acknowledgments, or goodwill gestures do not constitute amendments.
15. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable. If modification is not possible, the provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.
16. Assignment
The client may not assign, transfer, or delegate any rights or obligations under these Terms without the prior written consent of ARGYN AUTO. ARGYN AUTO may assign these Terms to any successor entity or acquirer of its business without the client's consent.
17. Waiver
No waiver by ARGYN AUTO of any breach or default under these Terms shall be deemed a waiver of any subsequent breach or default. No waiver shall be effective unless in writing and signed by an authorized representative of ARGYN AUTO.
18. Notices and Communications
All formal notices to ARGYN AUTO must be sent in writing to support@argynauto.ca or +1 (647) 493-3481. Communications through informal channels (Telegram, iMessage, casual SMS) are not considered formal legal notices unless explicitly confirmed as such by an authorized representative.
